Terms & conditions of sale

These general terms and conditions of sale govern the relationship between NextWaveIndustries SARL (NWI) and its professional (B2B) clients.

1. Purpose

These terms define the conditions of sale of NWI products and services: connected hardware, smart lockers, cashless systems, software integration and related services.

2. Quotation and order

Every order is preceded by a quotation. The order is firm once the client accepts the quotation in writing.

3. Prices and payment

Prices are stated excluding tax, in the currency specified in the quotation. Payment terms and deadlines are set in the quotation or contract.

4. Lead times, delivery and deployment

Manufacturing, delivery and deployment lead times are indicative. NWI endeavours to meet them; any delay cannot give rise to cancellation or compensation.

5. Warranties

Products carry the warranties specified in the contract. The warranty does not cover damage resulting from improper use, modification or maintenance by an unauthorised third party.

6. Liability

NWI’s liability is limited to the amount of the relevant order; indirect damages are excluded. For cross-border operations, the client is responsible for verifying that products comply with applicable local regulations (certification, customs, taxation).

7. Intellectual property

NWI retains all intellectual property rights in its products, software, firmware and documentation.

8. Confidentiality

The parties undertake to keep confidential the information exchanged within their commercial relationship.

9. Governing law and jurisdiction

These terms are governed by Tunisian law. Failing an amicable settlement, any dispute shall be brought before the courts having jurisdiction over the registered office (Ariana, Tunisia).
